COMPOSER SQUAD GAME MUSIC
END USER LICENSE AGREEMENT

This License Agreement governs the terms by which an individual or organization (The Licensee) may use purchased Composer Squad’s music or sound files (The Product) available for licensing via our marketplace (The Website) or our partner stores and/or marketplaces. (Partner Websites). 
 

Please read this Agreement carefully.

 

By purchasing and using any Content from The Product (as such terms are defined in Section 1 below), you are agreeing to be legally bound by this Agreement and accept the terms of the established copyright and licensing terms to which it relates.

 

If you are purchasing and using any Content from the Product on behalf of your employer or another Person (as defined below), you represent and warrant that you have the full legal authority to bind such other Person to this Agreement. If you do not have such authority or you do not agree with these terms, do not accept the Agreement and do not download or copy anything offered for purchase on the Website.

Definitions

  1. The Licensee” is an individual or an organization that had purchased The Product available for licensing via our marketplace (The Website).

  2. The Licensee to this Agreement is contracting with “The Licensor”, "Composer Squad", "we", "us" and "our" refer to Composer Squad.

  3. Content” refers to music tracks, audio and sound files, and other audiovisual media works that belong to Composer Squad and are part of the Product.

  4. "Content Information" means the tags, metadata, designations, annotations, information and documentation that are available on the Website or otherwise provided by us to you with, in or otherwise relating to Content.

  5. "Person" means an individual or legal entity, including a company or a governmental agency or instrumentality.

  6. Product” means a collection of tracks, track versions (stems, 30 second, 60 second, loop, etc) or sound materials that may be presented in form of background music batch/ pack/ bundle, or sound kit and is licensed by us to you.

  7. Website” means our internet site at www.composersquad.com, and the other internet sites of Composer Squad and its Subsidiaries and Resellers.

  8. "Partner Website" means any store or marketplace on which Composer Squad's products are displayed for sale, such as Unity Asset Store, Unreal Engine Marketplace, Game Dev Market, etc. 

  9. Resellers” means our and our Subsidiaries’ sub-distributors and resellers.

  10. When applied to us, “Subsidiaries” means all companies that from time to time directly or indirectly are owned or controlled by us, under common ownership or control with us, or own or control us.

License and Limits of Usage

  1. We hereby grant you a non-exclusive, non-transferable, worldwide, perpetual right and license (the "License") on the terms and subject to the conditions and limitations set out in this Agreement, to use the provided background music, its’ versions or sound kit Products in games and media projects.

  2. The License covers:

  • Using Product for commercial and non-commercial purposes, in games (mobile and desktop) social media content & videos, multiple times without additional payment.

  • Use the Product as background music and synchronize it with a game, video or other media project.

  • Trim and/or compress track(s) for adjusting to video or audio projects’ specific needs and requirements.

License Limitations

  1. The License is non-transferable. The term "non-transferable" as used herein means that except as specifically provided herein, you should not sell, rent, load, give, sublicense, or otherwise transfer to anyone, any Content or the right to use any Content. You may, however, transfer Content to a third Person for the sole purpose of allowing such third Person to produce, duplicate or distribute your Work for Distribution, provided that you should take all commercially reasonable steps to prevent third parties from extracting or duplicating the Content. If you become aware of any unauthorized duplication of any Content, you should promptly notify us via the Website and at legal@squad.fm. For the avoidance of doubt, the restriction on transferability does not apply to your Works for Distribution.

  2. This Agreement is a license, not an agreement of sale. You will not acquire, and we and/or the Contributors will retain, all rights, title, and interest in and to all of the copyrights, trademarks, trade secrets, and all other proprietary rights in the Content or Content Information that are not expressly granted to you by the terms of this Agreement.

  3. The License does not include the right to record a new version of Content or the composition reflected thereby.

  4. The licensee should not identify Composer Squad as a supporter or advocate of the project, in which Product or any of its’ components is used, without having prior consent from Composer Squad.

  5. If a specific use of the Product is not clearly permitted in this agreement or is not reasonably suggested through its language and context then it should be assumed that such activity is not permitted without prior permission from the Licensor which will not be unreasonably withheld.

  6. You may not:

    • Distribute Content as a standalone file or in any music library or reusable template intended to allow on-demand use, reproduction or customization of such Content by third parties in electronic or other products;

    • Distribute Content in a manner that facilitates third parties’ ability to (i) extract without extraordinary effort the Content for use separately and apart from the Work for Distribution or (ii) create derivative works incorporating Content, except as part of the marketing, editing or distribution of a Work For Distribution pursuant to Section III; or

    • Include or post Content or a representation of the same on a publicly displayed or distributed website or software, or internet application which facilitates its use as a template that could be customized by, or at the request of a third party.

    • Use the Product in a way that violates local or international laws or otherwise constitutes illegal activity.

  7. The License granted under this Agreement does NOT cover the usage of the Product or its components in the following applications:

  • Redistribution of as a Product or any of its components "as-is"

  • Radio and/or Television Broadcast (a separate Broadcast License must be purchased)

  • A theatrically-released film (a separate Film License must be purchased)

  • Adding vocals, and reselling as a song (a separate Beat License must be purchased)

  • Reselling by incorporating into other royalty-free items such as stock video.

Copyright

  1. Copyright of the musical compositions and recordings provided in the Product, and all associated rights, shall remain under the ownership of the Licensor, Composer Squad. No part of this transaction constitutes a transfer of ownership or copyright of the Product and, as such, the Licensee must not engage in any activity that would otherwise only be permitted by the copyright holder of the musical compositions or the musical recordings.

YouTube Content ID

  1. Subject to your compliance with this Agreement, you may allow, and receive remuneration from, the display of third-party ads in connection with making available your end product (video) on YouTube (i.e. monetize). Composer Squad monetizes on unlicensed use of Recordings on YouTube as part of their Content ID system. Without correct clearance, Composer Squad is unable to tell a licensed end product from unlicensed use, and thus reserves the right to monetize any end product containing Recordings that are not correctly cleared for monetization. Should an end product licensed under this Agreement be monetized or otherwise receive a claim from Composer Squad, you may notify Composer Squad at whitelisting@squad.fm, and Composer Squad will add your video and/or channel to the whitelist and release any and all copyright claims without undue delay. Composer Squad will have no responsibility, and will not reimburse you, for any monetization of end products by Composer Squad for any period prior to such end products having been correctly cleared for monetization.

Credit Attribution

  1. For all Works For Distribution incorporating the Content where crediting is customary or where other such credits are provided, you shall accompany the Work For Distribution with a credit line that reads "Music by Composer Squad / composersquad.com", which unless other hyperlinked credits are provided, need not be hyperlinked.

  2. The unintentional omission of credit attribution provided for above will not be considered to be a breach of this Agreement as long as you use your reasonable best efforts to promptly cure the same upon written notice.
